Companies that conduct internal research cannot fully specify the output from that research in advance. Inevitably, spillovers may result. A company might choose to create a technology spin-off company to realize value from such research spillovers. But how is such a spin-off to be governed? Effective spin-off governance structures in a highly uncertain environment must promote experimentation and adaptation, in order to unlock the latent value in a technology. These can conflict with structures intended to manage coordination with the parent firm’s complementary assets.This paper analyses 35 spin-off organizations that arose from the Xerox Corporation. Xerox’s own initial equity position is negatively correlated with the subsequent performance of its spin-offs, but this is due not to their equity per se, but Xerox’s practices in managing its spin-offs. Spin-offs with a higher percentage of venture capital investors on their Boards were associated with higher financial performance, while spin-offs with a Xerox insider as CEO were associated with lower financial performance. Qualitative interview data suggest that Xerox’s practices caused its spin-offs to search locally near Xerox’s own business, while spin-offs governed by outside investors’ practices searched a broader space for commercializing their technologies.  相似文献

This paper proposes a taxonomy of corporate spin-off firms by exploring the nature of parent firm-spin-off firm relationship. Relying on the resource-based and the resource-dependence theory, special attention is paid to the complementarity of the resource base of the parent firm relative to its spin-off, the intensity of collaboration between the parent and the spin-off, and the dependence of the spin-off firm on the resources provided by the parent organization. Based on cluster analysis, we were able to identify three distinct groups of corporate spin-off firms: spin-offs developing new technologies, spin-offs serving new markets and restructuring spin-offs. These groups differ from one another in terms of the intensity of resource sharing linkages and knowledge transfer between the parent and the spin-off, timing of separation, as well as the direction and breadth of their new product development activities.  相似文献

The influence of the university department upon spin-off venture evolution is complex and dynamic. We examine how the university department context influences the spin-off process from the perspectives of both the spin-off venture and the department. By comparing the development of entrepreneurial competencies within spin-offs based in different departments at the same universities we observed significant differences in early venture performance. Small differences in initial departmental support from management and senior academics for gaining commercial experience and spending time exploring the commercial opportunity were seen to have a major impact upon the subsequent spin-off development path. Supported ventures gained momentum as the department helped develop entrepreneurial competencies and influenced how these competencies were developed from external actors outside the department. By contrast, a lack of departmental support for entrepreneurship severely constrained the evolution of spin-offs regardless of university level policies and practices. This emphasizes the need for a shift in focus from the well-studied university level to the relatively neglected department level to help explain institutional differences in university spin-off activity.  相似文献

学术创业企业的成长伴随着从科研网络向产业网络的跨越,为了解析其成长机理,本文以中美两国共14个学术创业案例为依据,从“社会网络—合法性”视角分析企业网络的动态演化,并着重探讨了各阶段合法性约束的种类、身份转化劣势的作用机制以及合法性策略选择的情境条件。研究发现:(1)学术创业者在创业者存在身份转换劣势,并给企业带来合法性约束。(2)根据网络边界跨越方式的不同,创业者建立合法性的策略可分为直驱型策略和迂回型策略。(3)合法性策略的选择受到企业所在网络的多样性和自身技术新颖性的影响。基于学术创业的特殊情境,论文提出身份转换劣势的概念,并为企业成长理论和合法性理论做出贡献。  相似文献

学术创业对于国家的技术进步、创新能力提升和区域经济发展都有着非常重要的影响,大学/科研院所衍生企业是学术创业的重要形式之一,也是促进科技成果转化的重要途径之一。近年来衍生企业相关研究逐渐兴起,成为学术界和产业界关注的热点话题。文章基于中国科学院及其各研究院所358家衍生企业2008-2017年的面板数据,采用固定效应模型,从资源基础理论和代理理论出发,探究了学术衍生企业的股东特征对衍生企业绩效的影响机制。结果发现,衍生企业的股东多样性对企业的专利产出和财务绩效均有显著的促进作用,研发投入在股东多样性与企业绩效中间起中介作用,股东多样性水平越高,对企业研发投入和企业绩效的促进作用越强。  相似文献

Research-based spin-offs (RBSOs) have become an important aspect of the technology transfer process. Emanating from what is conventionally a non-commercial environment, RBSOs pose major challenges if they are to realise their potential to meet the objectives of their founders and the parent research organisations (PROs) from which they emerge. An important issue is to understand the heterogeneity of RBSOs. This paper reviews the literature on RBSO typologies to develop a taxonomy of RBSOs. We identify common themes in relation to these typologies in relation to (1) spin-off creation and (2) spin-off development. The dimensions that differentiate between firms are the type of resources, the business model and the institutional link. We identify gaps in current typologies in order to propose avenues for future conceptual and empirical research.  相似文献

Public research institutes (PRIs) have played an increasingly prominent role in leading radical inventions, which are considered a major source of long-term economic growth. However, there is little empirical evidence on the factors affecting radical inventions in PRIs, which have been at the forefront of scientific research and technological development. This study fills this gap by providing an empirical analysis of radical inventions at the Chinese Academy of Sciences (CAS), a conglomerate of PRIs in China. Based on a newly compiled data set on CAS patents, this study explores the effects of knowledge path dependence, external network connections, and their interactions on radical inventions in PRIs. Our empirical findings reveal that knowledge path dependence negatively affects radical inventions; there is an inverse U-shaped relationship between external network connections and radical inventions, and weak external connections can alleviate the hindrance originating from knowledge path dependence, thus prompting radical inventions.  相似文献

In this paper, we analyze the extent to which University-Level Support Mechanisms (ULSMs) and Local-Context Support Mechanisms (LCSMs) complement or substitute for each other in fostering the creation of academic spin-offs. Using a sample of 404 companies spun off from the 64 Italian Science, Technology, Engineering, and Mathematics universities (STEM universities) over the 2000–2007 period, we show that the ULSMs’ marginal effect on universities’ spin-off productivity may be positive or negative depending on the contribution offered by different LCSMs. Specifically, in any given region, ULSMs complement the legislative support offered to high-tech entrepreneurship whereas they have a substitution effect with regard to the amount of regional social capital, regional financial development, the presence of a regional business incubator, regional public R&D expenses as well as the level of innovative performance in the region. Results support the idea that regional settings’ idiosyncrasies should be considered for universities to develop effective spin-off support policies. This paper contributes to the debate on the evaluation of economic policies supporting entrepreneurship.  相似文献

The paper reports on a recent study, which uses various indicators to provide an insight on the performance of spin-off companies from the public sector research base in Oxfordshire (UK). The study builds upon the other studies and fills a gap in the field by gathering empirical information on the performance of technology-based spin-off companies. While the main geographical focus is the county of Oxfordshire, UK, the findings will also be of value for other researchers and institutions with an interest in assessing the performance of spin-off firms. The evidence shows that the number of spin-offs in Oxfordshire has increased rapidly over recent years, as the result of evolving national policy and the entrepreneurial culture of the universities and laboratories. However, the academics and scientists in Oxfordshire's institutions were already entrepreneurial in the 1950s, less so in the 1960s, but increasingly in the 1970s and 1980s, particularly in Oxford University, which is by far the largest generator of spin-offs in the region.  相似文献

This paper addresses the following question: why are some university researchers more likely to create spin-off companies than others? In order to explain why university researchers create spin-offs, we draw on the resource-based theory of the firm. The study database consists of 1554 university researchers funded by the Natural Sciences and Engineering Research Council of Canada (NSERC). The logistic regression results suggest that the traditional and entrepreneurial visions of university research complement each other when one looks at the resources mobilized by researchers to launch spin-offs.  相似文献

Based on new data, this paper studies the invention disclosure, licensing, and spin-off activities of Max Planck Institute directors over the time period 1985-2004, analyzing their effects on the scientists’ subsequent publication and citation records. Consistent with prior findings, inventing does not adversely affect research output. Mixed results are obtained with regard to commercialization activities. The analysis suggests qualifications to earlier explanations of positive relationships between inventing and publishing.  相似文献

We run an Event History Analysis on a sample of Italian researchers in the field of Materials Science, aiming at understanding how the characteristics of the research trajectories followed by scientists in academia affect their opportunities to do development of industrial applications. Results of our estimates suggest that all measures of academic performances have a dual effect, although different in magnitude. Scientists that are moving along applied research trajectories find it easier to produce industrial applications than their colleagues engaged in the quest for very fundamental understanding. We interpret our results by suggesting that, for the former, more academic research results in more exploitable results, hence in more chances to patent; for the latter, more academic research makes it just more unlikely that they will find the time to produce industrial applications. Similar results apply for the low versus high research impact.  相似文献

International knowledge spillovers, especially through multinational companies (MNCs), have recently been a major topic of discussion among academics and practitioners. Most research in this field focuses on knowledge sharing activities of MNC subsidiaries. Relatively little is known about their capabilities for protecting valuable knowledge from spilling over to host country competitors. We extend this stream of research by investigating both formal protection strategies (e.g. patenting) as well as strategic ones (secrecy, lead time, complex design). We conceptualize the breadth of firm's knowledge protection strategies and relate it to the particular situation of MNC subsidiaries. Moreover, we argue that their approaches differ with regard to host country challenges and opportunities. We address these issues empirically, based on a harmonized survey of innovation activities of more than 1800 firms located in Portugal and Germany. We find evidence that MNCs prefer broader sets of knowledge protection strategies in a host country with fewer opportunities for knowledge sourcing (Portugal). In Germany, though, they opt for narrower sets of knowledge protection strategies if they invest in innovation activities themselves. We deduce that these results are due to a need for reciprocity in knowledge exchanges to benefit fully from promising host country knowledge flows.  相似文献

What national policies are most efficient in promoting the commercialization of university-generated knowledge? We address this question by characterizing and evaluating the policy pursued in Sweden and the US, two countries that put a great deal of resources into university R&D, but follow very different models for commercialization. Despite a leading academic record, there is an impression of laggard rates of commercialization of academic research results in Sweden. Although there exist no micro data to evaluate this impression, we argue that it is likely to be true in part due to the top-down nature of Swedish policies aimed at commercializing these innovations as well as an academic environment that discourages academics from actively participating in the commercialization of their ideas. This sits in stark contrast to a US institutional setting characterized by competition between universities for research funds and research personnel, which in turn has led to significant academic freedoms to interact with industry, including significant involvement in new firms.  相似文献

This paper uses patent citation data to analyze the quality of university technology across European regions. The empirical analysis draws on a panel dataset of 4580 European university-owned patents classified by 202 European regions over the period 1998-2004. The methodology involves a multilevel framework to identify the effects of factors at three hierarchical levels (individual, university, and regional) on the quality of university patenting. The results suggest that regional factors, such as the level of development, industrial potential, and regional higher education R&D expenditure, do not play any significant role in determining the quality of European university patents. We instead find that the factors affecting patent quality stem from their specific characteristics. We also find that university size does not explain the quality of patents. However, there is significant unobserved heterogeneity at the university level in all models, suggesting that differences in other university characteristics explain a substantial part of the variance in patent quality.  相似文献

This paper examines the various methods through which firms benefit from interactions with universities, arguing that such benefits are instrumental in nurturing the multiple facets of a firm's absorptive capacity. We bring together data collected from a survey of UK firms that collaborated with universities, and firm-level data on past partnerships with universities. The results show that benefits from interactions with universities are multifaceted, including enhancement of the firm's explorative and exploitative capabilities. Results also indicate that firms’ R&D commitments, geographical proximity to and research quality of university partners have a distinct impact on the different types of benefits from interactions with universities. We find geographical proximity is crucial for assessing problem-solving as an important benefit, while interactions with top quality universities have a positive influence on the benefits associated with firms’ downstream activities. We discuss the implications of these findings for research and policy.  相似文献

Looking at micro-data on the networks of inventors of a French science university, we investigate whether the kind of cognitive relationships between researchers influences the geography of their collaborations.The hypothesis we test (and confirm empirically) is that academic knowledge diffuses in a restricted geographic area when the connected researchers belong to epistemic communities, whereas communities of practice entail less localised effects. We also show that institutionally mixed research teams do not impede large knowledge diffusion.  相似文献

International knowledge spillovers, especially through multinational companies (MNCs), have recently been a major topic of academic and management debate. However, most studies treat MNC subsidiaries as relatively passive actors. We challenge this assumption by investigating the drivers of knowledge protection intensity of MNC subsidiaries. We argue that knowledge protection intensity is determined by MNC subsidiary mandates and by opportunities and risks originating from the host region. We hypothesize that not just competence-creating but also competence-exploiting mandates increase knowledge protection intensity. In addition, technological cluster regions in the host country can be expected to provide opportunities for knowledge sourcing and MNC subsidiaries may be willing to protect knowledge less intensively to participate in cluster networks. We test our hypotheses using a dataset of 694 observations of 631 MNC subsidiaries in Germany and develop recommendations for research, managers and policy makers.  相似文献
