独立董事制度产生于以美国为代表的单轨制公司治理模式的国家，是完善公司治理结构的一项重要举措。我国自2001年在上市公司中引入独立董事制度，但由于政治、经济、文化、法律等不同，存在适应性问题。文章就独立董事制度在我国的适应性问题进行了探讨，认为只有从完善公司治理结构入手，理顺监事会与独立董事的关系，调整公司股权结构，完善独立董事遴选程序，健全绩效评价和激励约束机制，才能解决独立董事制度在我国的适应性问题。 相似文献

民商法仍从传统的视角,将独立董事制度至于公司内部,视作为公司治理的一种方式。然而,这种"嵌入式"的制度设计效果并不佳,其仍是希图通过公司内部的"私"主体之间的制衡来加强公司的监督。不立足于社会利益来重构独立董事制度,该制度之本源价值终将难以得到发挥。经济法主张社会本位和国家的适度干预,这不仅契合了独立董事制度的本质,而且也弥补了传统独立董事制度设计中所存在的"私"的不足。独立董事制度能否发挥预期效应,主要取决于能否从制度构建上保障其独立性。在经济法理念的指导下,欲确保独立董事之独立,必须将其选任权外置于公司,切断独立董事与公司之间的直接金钱联系,规定独立董事最低的任职期限。 相似文献
