《公司法》第五条明确了公司社会责任,但是该条对公司承担社会责任的范围、权利主体的界定、责任承担主体及方式等问题均未涉及,在司法实践中欠缺可操作性。文章通过界定公司承担社会责任的标准,提出构建符合我国国情公司社会责任制度的正当路径。 相似文献

文章以理论界认为我国公司法没有建立公司社会责任制度为发端，认为我国公司法第14条第1款实际上已经具备了公司社会责任的雏形。文章进一步认为，与发达市场经济国家相对完备的公司社会责任制度相比，我国公司法第14条的规定显得十分单一和抽象，不利于公司承担必要的社会责任。因此，文章建议，公司法应该在立法宗旨中明确规定公司的社会责任，并通过完善公司组织机构是权力和义务体系来确保公司社会责任的承担。 相似文献

受社会转型、非诉解纷功能弱化、诉讼费全面下调等多种因素的影响,“人民调解工作室”之类的法院附设调解机构雨后春笋般地在各地挂牌。人民调解员进法院后引发了一系列社会变革和社会责任。其中,社会变革包括解纷机构与人员的变化、解纷流程的变化。社会责任包括立法责任、司法责任、政府及其他社会主体的责任。因此,客观分析这一新生事物背后的社会原因,准确预断人民调解的适度司法化抑或司法调解的适度社会化趋向,以及可能引发的社会变革与社会责任有着十分重要的现实意义。 相似文献

Aninequality is established, which reveals that the difference between the squared circumradius of the n-dimensional simplex andthe squared distance between its circumcenter and barycenter times the squared circumradius of its inscribed simplex is not lessthan the 2(n-1)th power of n times its squared inradius, and is equal to when the simplex is regular and its inscribed siplex is atangent point one. Deduction from this inequality reaches a generalization of n-dimensional Euler inequality indicating that thecircumradius of the simplex is not less than the n-fold inradius.
