集体代理是股东将各自的表决权集中地授予某一代理人,向公司为意思表示或受领意思表示,代理效果归属股东本人的代理。集体代理较个人代理在授权方式、授权内容等方面存在较大区别。股东累积投票中的集中委托与代理是较为典型的一种集体代理形式。股东累积投票的功能就在于为少数股东选出合适的董事或监事,保护小股东的利益。这一制度功能是靠结合代理制度,达到股东表决权的集中完成的。  相似文献

本文介绍一种新的DNA序列的三维图形表示，它可以避免相应空间图形的交叉和重叠。该图形表示的好处还在于，它仅仅有两种需要计算的可能情况，而在其它的三维表示中，往往有三种需要计算的情况。究其应用，我们对两种可能产生的表示情况，通过计算十二种不同物种间编码序列对应的L/L矩阵产生的正规特征值，构造一个2-维向量来检测上述物种间的相似性与非相似性。  相似文献

“Can any fraction be turned into a decimal?” A case study of a mathematical group discussion

This case study examines two days of teacher-led large group discussion in a fifth grade about a mathematical question intended to support student exploration of relationships among fraction and decimal representations and rational numbers. The purpose of the analysis is to illuminate the teacher’s work in supporting student thinking through the use of a mathematical question embedded in a position-driven discussion. The focus is an examination of the ways that the emergence of mathematical ideas is partially shaped by complex interactions among the mathematical contents of the question, the inherent properties of the discourse format and participant structure, and the available computational methods. The teacher’s work is conceptualized in terms of actions and practices that coordinate these diverse tools, in constant response to students’ concurrent use of them. 《宠儿》体现了作者托尼.莫里森复杂的历史观。它一方面表现出后现代主义者对官方历史叙事的怀疑,另一方面又深信美国黑人保留深层文化记忆的重要性,而后者则是一个现代主义者的政治抱负。莫里森在这两个主义中找到了平衡,颠覆了美国黑人社会抗议所依附的现代主义的哲学基础和对元叙事以及历史和历时的时间观表示质疑的后现代主义之间的绝对对立。  相似文献
