Is the Equity Transfer Agreement of a Chinese-Foreign Contractual Joint Venture Valid? A Case Comment on Xianyuan v.Zhongxin

Under Chinese law, when parties have signed an equity transfer agreement of the Chinese-Foreign contractual joint venture, they need to report to the examination and approval authority for approval. However, due to imperfection of and conflicts among laws and regulations as well as misunderstanding of the above system, it is always difficult for judges to determine the validity of such equity transfer agreement under the administrative approval system. Among the three categories of FIEs provided in Chinese law 1, scholars have had a comprehensive discussion over equity transfer agreement involving Sino-Foreign Equity Joint Venture Enterprises, but this case is concerned with the equity transfer agreement of a Chinese-Foreign contractual joint venture. In this case, the People’s Supreme Court holds that the equity transfer agreement that has not undergone the approval procedures are not valid but not void. Furthermore, the parties that are bound to submit the agreement to the approval authority shall perform their duties of this kind.  相似文献

低温对白菜型冬油菜幼苗光合特性的影响

在大田种植条件下,测定白菜型冬油菜陇油6号、陇油7号、陇油8号、陇油9号、天油4号、天油7号和宁油4号幼苗叶片光合和叶绿素荧光参数等指标.结果表明:气温为-10℃时,陇油7号幼苗叶片净光合速率(Pn)、瞬时光能利用率(LUE)、瞬时羧化效率(CE)和瞬时水分利用效率(WUE)最低依次为0.40μmol·CO_2m~(-2)·s~(-1)、0.3216μmolCO_2·mmol~(-1)、0.0010molCO_2m~(-2)·s~(-1)和2.2015μmolCO_2mmol~(-1)H_2O,稳态荧光产量(Fs)、光适应下最大荧光(Fm')和PSII电子传递速率(ETR)最低依次为63.2、85.4和0.8375.在温度降低过程中,超强抗寒白菜型冬油菜品种陇油7号幼苗的光合特性弱于其他白菜型冬油菜品种.  相似文献

本文对43例哮喘患者及20名正常人分别进行了血浆 TXB_26—keto PGF_(1a)放射免疫测定.其结果:哮喘患者发作期血浆 TXB_2明显高于缓解期,且哮喘者各期血浆 TXB_2均较正常人显著增高(P<0.05);病情越重,增高越明显;而6—keto PGF_(1a)各组间无显著差异(P>0.05)。结果表明血栓素 A_2可能在哮喘的发病机理中起着重要作用。  相似文献
