| 摘 要： | 公司资本制度是公司法的核心.我国现行公司法在公司资本制度上采取了严格法定资本制.面对知识经济和经济全球化的挑战,要使我国公司资本制度在促进建立现代企业制度、规范公司组织和行为等方面发挥更大的作用,建议在更大范围内借鉴国外成功的做法,设计和完善我国的公司资本制度.

| Abstract: | Capital system of company is the core of law of company.Rigid legal capital system of company capital system has been adopted in the actual law of company in China.Facing up the challenges of intellective economy and economical globalization,in order to make our capital system of company profoundly react on the promotion of establishment of modern enterprise system and standardization of company organization and behavior,the writers suggest that our national capital system of company should be designed and perfected by taking successful oversea practices for reference in more aspects. |
