| 摘 要： | 传统公司法理论认为,公司是以营利为目的的社团法人,是多个投资主体共同出资设立的。但随着后天的一人公司的出现以及实质上一人公司的大量存在,许多西方国家通过立法形式明确了一人公司的合法地位。我国2005年修订后的《公司法》明确规定了一人有限责任公司制度,使我国公司制度更加全面。但是我国立法对此过于简单,仍显许多不足。文章对我国一人公司制度的沿革及一人公司制度的设计进行了论述,并提出了完善我国一人公司制度的建议。

On the History and Improvement Countermeasures for One-person Companies in China |

| Abstract: | In line with the traditional corporate legal theory, a company is a profit-oriented corporate body set up by many investors. However, with the later rise of one-person companies and the existence of numerous virtual one-man companies, the legal status of one-person companies has been clarified through legislation in many western countries. In The Company Law revised in 2005, the system of one-person limit- ed-liability companies has been clearly promulgated, thus making the company system more comprehensive in China. Nevertheless, much leaves to be desired in this aspect due to law imperfections in our country. This paper starts with a discusion on the history of the one-person company system in China, proceeds with an account of the design for the one-person company system in China＇ s company law, and concludes with some countermeasures for improving the one-person company system. |
