| 摘 要： | 关联交易作为一种经济现象应属于中性范畴，其存在有其必然性和一定合理性。但是不正当关联交易的客观存在严重损害了中小股东和债权人的权益，必须运用各种法律手段予以规制。

Because the existence of unfair connected transaction damages the rights and interests of small and middle shareholders and creditors, it must be regulated by various legal measures. |
