| 摘 要： | 我国合伙立法混乱,没有对合伙进行合理分类是其主要原因.采纳大陆法系的通行做法,将合伙分为民事合伙和商事合伙,以适用不同的法律规范,并在法律地位上分别对待,是建立合理合伙法律体系的基础.

| Abstract: | The legislation on partnership in our country has many problems for the lack of no rational classification of partnemhip. We should learn from Constitutional Legal System, which distinguishes civil partnemhip from commercial parnership to meet the different legal rules and gives them different legal statuses. |
