| 摘 要： | 代理权争夺，作为公司控制权的一种转移方式，是现代公司控制权市场上的一个重要内容，本文围绕代理权争夺与公司二者之间的关系，简要介绍了代理权争夺的内容，特点与原因，着重探讨了代理争夺对公司治理的影响；以美国为例，从理论基础和立法实践两方面分析了代理权争夺在公司控制权市场上和公司治理中的地位演变；指出了制定我国公司代理权争夺的立法要求。

Proxy Contest and Corporate Governance |

| Abstract: | Proxy contest, as a means of transference of corporate control ,consists a key aspect on modern corporate control market .The present thesis ,centering around the relationship between proxy contest and corporate governance ,gives a brief introduction to the content ?features and reasons of proxy contest,with a special focus in the impact of proxy contest on corporate governance .The thesis ,taking America as an example ,further analyses the evolvement of the status of proxy contest in corporate control market and corporate governance from both theoretical and practical perspectives .The thesis ,in its final analysis ,also points out the need to legalize corporate proxy contest in china. |
