| 摘 要： | 技术创新对于企业的生存与发展日益重要，但是，现有的关于企业技术创新影响研究很少考虑企业治理结构因素及其对企业技术创新的影响，本的分析表明，企业治理结构与技术创新密切相关，企业经营持股水平的提高，具有强烈支持企业创新意愿的机构投资的引入、董事会规模的缩小、外部董事数据的增加，董事会专业委员会的设立以及董事长与总经理的职责分离都有助于提高企业技术创新水平，在此基础上，本提出了促进了企业技术创新的治理改革对策。

| Abstract: | Technology innovation is more important for firms in today's competitive markets. Extant researchs did not explore the effects of governance structure on technology innovation. But acctually corporate governance is related to technology innovation closely. The level of technology innovation is hige when: (1)executives own stock in their company; (2)institution investors which support innovation own more stock; (3)the board is small in size; (4)the ratio of outside directors in high; (5)the board has special committee; (6)the duty of the board chair is different from that of the chief executive officer . We put forward some countermeasure of governance reform to promote technology innovation. |
