| 摘 要： | 目前,我国的国有企业改革进入攻坚阶段,依然存在着法人治理、投资风险监管等深层次的问题。法人治理结构存在的主要问题有三方面：一是角色控制重叠,权力制衡无力;二是党组织与法人治理结构的关系不明确;三是企业家形成机制和激励约束机制存在明显的制度障碍。在投资风险监管方面的主要问题是投资风险监管不力,国企投资失败的后果基本上由国家承担,造成经理人的铤而走险。针对这些现实问题,本文提出了进一步深化国有企业改革的有效途径。
