摘    要:股票期权是现代企业制度结构的重要内容,是适应于现代企业发展比较有效的激励方式。但是实施股票期权是有条件的,需要完善的公司法人治理结构、高效公正的资本市场、合理的人才选拔机制与之配合,同时还要求相应的法律体系的健全和制度环境的保障。就股票期权制度本身而言,也将随着外部条件的变化而不断完善,只有这样,才能使股票期权在国企改革中发挥积极的作用。

Abstract:s:The author thinks that stock option is one of the most important elements of the modern enterprise structure and that it is also an effective mechanism to stimulate the development of modern enterprises. But putting it into practice is conditional. It should be grounded on a perfect administration structure of legal person in this business, an efficient and fair capital market and an impartial electing mechanism of talented persons. At the same time, a perfect legal system and a sound legal protection are definitely required. As for the system of stock option, it also will improve and gradually be perfect with the regular development of these conditions. Then the positive effects of stock option on the reform of the government owned enterprises will be expected.
