| 摘 要： | 公司制和有限合伙制两种风险投资组织形式各有其利弊。无论选择哪一种组织形式，都必须从本国的实际出发，不可盲目照搬外国模式。通过利弊比较，我们认为鉴于现行立法的障碍、社会信用体系不完善、缺乏成熟的机构投资者和适格的风险投资家，加之有限合伙制自身的缺陷，我国应当选择以公司制风险投资为主，探索性逐步发展有限合伙制风险投资模式。

| Abstract: | Both of venture capital forms, corporation manufacture and limited partnership manufacture, have their own advantages and disadvantages. No matter which form we choose, we should base on na-tive facts and can not copy other countries' pattern blindly. With the comparison among venture capital forms, our country should choose the main venture capital form of corporation manufacture and develop the limited partnership manufacture step by step because of the obstacles of exist legislation, the faulti-ness of the social credit system, the lack of mature institution investors and suitable venture capital investors , and the limitations of limited partnership manufacture itself. |
