基于网络经济的公司治理创新研究

摘    要:网络经济的发展使公司治理的环境以及公司治理的主体发生了明显的变化。人力资本受到广泛瞩目,注重公司利益相关者的利益保护成为公司治理的目标。基于信用基础之上的网络组织,使得公司治理中必须注重基于企业信用的内部约束机制的建设。适应网络经济发展的需要,应进行公司治理创新,建立适应网络经济发展的公司治理结构与治理机制。公司治理应注重人力资本的激励与约束,同时构造开放式的决策体系,使公司董事会更有效地参与公司战略决策以及利益相关者有效参与公司治理。另外,完善的约束机制的建立有利于保护公司利益相关者的利益以及公司良好信用的建立。

Abstract:With the development of network,the environment of corporate governance and the subject of corporate governance have changed obviously.Human capital plays an important rule in corporate.The goal of corporate governance is to protect the benefit of stakeholders.Based on the credit of network makes corporate governance must pay more attention to the construction of internal credit mechanism.Catering the need of the development of network,we must innovate corporate governance and construct corporate structure and mechanism in order to adapting the development of network.Corporate governance should pay attention to the incentive and restrain of human capital. Meanwhile corporate governance should build an opening decision system so that the boards can take part in the decision of corporatist strategy and make stakeholders join corporate governance efficiently.In addition,perfect monitor system of corporate governance is benefit for the protection of stakeholders and the building of good reputation.
