| 摘 要： | 我国现行证券法中有关民事责任制度较多地落后于相对完善的行政责任制度和刑事责任制度，明确信息披露不实民事责任的性质是确定民事责任的承担主体的前提和基础。本文通过对信息披露不实及不同阶段证券行为的分析，提出不同阶段的信息披露不实民事责任的性质并不相同。

| Abstract: | As an important part of stock market system, the information disclosure system directly impacts the validity of stock market. The civil liability system based on the present securities law in China drops behind the administrative liability system and penal liability system. The basis of setting the subjects assuming the civil liabilities is the character of false information disclosure. Analyzing the civil liabilities of false information disclosure and the behavior at the different stage on stock market, the thesis puts forward that the character of false information disclosure is different between stages . |
