| 摘 要： | 董事会的有效运作是上市公司法人治理结构正常运行的关键。目前我国上市公司的董事会存在着严重的空壳化问题,控股股东操纵董事会,直接导致了公司法人治理结构的失灵。因此有必要完善我国上市公司的董事会,建立分类董事会,完善独立董事和董事责任制度。

| Abstract: | BThe board of director's effective operation is the key to the normal operation of the legal person's managment of the stock companies. nowadays, The board of directors of our country's stock companies are nominal, the stockholders manipule the board of directors and lead to not working properly of the legal person's managment of the stock companies, so it is necessary for the board of direetors to perfect the stock companies of our country. perform the classified board of directors and perfect the system of the independent directors and director's responsibicities. |
