| 摘 要： | 中国国有企业委托代理关系的典型表现是委托人和代理人的政府化。其主要特征是委托人和代理人都由政府任命。这种委托人和代理人对企业治理结构的影响表现为：第一，缺乏有效的经营选择机制；第二，监督机制失灵，如监督动机的缺乏，监督的机会主义行为等，这就必然导致“内部人控制”现象的产生。从先远来看，改革产权制度是解决国有企业治理结构问题的根本措施，当前，要从干部人事制度改革入手，消除由政府主管部门直接任命企业负责人的制度，形成一个客观评价，选择和淘汰经营的机制。
