| 摘 要： | 集体代理是股东将各自的表决权集中地授予某一代理人，向公司为意思表示或受领意思表示，代理效果归属股东本人的代理。集体代理较个人代理在授权方式、授权内容等方面存在较大区别。股东累积投票中的集中委托与代理是较为典型的一种集体代理形式。股东累积投票的功能就在于为少数股东选出合适的董事或监事，保护小股东的利益。这一制度功能是靠结合代理制度，达到股东表决权的集中完成的。

| Abstract: | The collective proxy is that shareholders strongly awards respective voting rights to some agent, who expresses some meanings to the corporation or receives some meanings from the corporation, in which proxy effect belongs to shareholders. The collective proxy is different from individual proxy in authorized way and authorized content and so on. The common representation and focused proxy of the voting shareholders in the cumulative voting is a kind of comparatively typical collective agency＇s forms. The function of the cumulative voting is to protect the profits of small shareholders through electing the suitable director or supervisor for a few shareholders. The function of this system is improved by combining agency system and concentrating voting right of stockholders. |
