| 摘 要： | 公司治理结构的演变经历了股东会中心主义到董事会中心主义的过程。究其原因,主要是知识经济促使了“资本基本主义”到人力资本的独占地位的确定。面对我国公司治理结构的一系列问题,通过调整股权结构,建立对经营的约束和激励机制,加强中小股东保护来完善公司的结构治理问题。

| Abstract: | The development of the coporate governance has gone through two stages, one with shareholders' meeting the core and the other, the board of directors, the reason of which lies in that knowledge economy has stimulated the establishment of monopoly from"capital fundamentalism" to manpower capitals. To solve the problems, we must perfeet the corporate governance by adjusting the stock right structure, constructing a restraint and incentive mechanism and fortifying the interests of medium and minority stockholders. |
