| 摘 要： | 独立董事制度引入中国,是独立董事的独立性特质和中国公司治理要求的合力使然,遗憾的是,独立董事制度在中国迄未发挥预期作用,其突出的弊端是独立茸事不“独立”,寻根溯源,该制度设计上的缺陷难辞其咎：独立董事的任职条件、选任程序,激励和责任机制尚待完善,独立董事在董事会成员中的比例应有下限要求,一言蔽之,应“实体”“程序”双管齐下,加强独立董事独立性,完善独立董事制度。

| Abstract: | The institution of independent directors was planted in China results from the traits of independence out of independent directors and the needs out of China corporations' management.It is a pity that the institution hasn't produced the desirable effect in China,and it is very obvious that the independent directors lack "independence".The situation goes back to the defects in the construction of the institution,in detail,such aspects as the conditions of occupation,the process of election and the system of both encouragement and responsibilities require improving,moreover,the numbers of the independent directors in the board of directors should be more than the given proportion.In a word,the independence of independent directors should be strengthened to perfect this institution through both "entity" and "procedure". |
