| 摘 要： | 经理股票期权是一种把企业经营者对企业的贡献和经营者自身利益紧密联系在一起的激励措施。能有效地促进国有资产的保值与增值，防范经营者的短期行为，增强企业的凝聚力，解决国有企业体制方面存在的固有矛盾，促使国有企业的经营者尽职尽力，搞好经营。但目前国有企业实行经理股票期权制还存在着一定的制度障碍和内部、外部环境约束问题，难以真正推广实施。但它是我国国有企业激励机制和约束机制建设的重要方向之一，我们应从：建立健全一系列相关的法律、法规，培育有效、稳定的资本市场，完善企业内部制度，完善和规范职业经理人市场等方面积极为经理股票期权制的实施创造条件。

| Abstract: | Manager＇s stock option is an incentive measure connecting enterprise operators＇ contribution to the enterprise and their benefits. This practice can effectively protect and promote state asset＇ s value, prevent the operators＇ short - term operation, intensify enterprises＇ team work, solve the inherent contradiction of state - owned enterprises, and promote the management to try their best to run the enterprise. However, there exist system obstacles and inside and outside constraints of the present manager＇ s stock option system in state - owned enterprises. It is difficult to carry it out. But it is one of the incentive measures and constraint measures in China＇ s state - owned enterprises. We should establish a series of relevant laws and regulations to cultivate an effective and stable capital market, better the intro - enterprise regulations and perfect the professional manager market to create conditions for the implement of manager＇ s stock option system. |
