| 摘 要： | 利用我国46家股份制保险公司的调研数据,从保护以保单持有人为代表的利益相关者的视角,利用偿付能力这一基础性指标作为证据,采用加权最小二乘(WLS)的方法,检验我国保险公司治理合规性建设程度以及各种治理机制在实践中的有效程度.结果表明,较高的保险公司治理合规性能够更好地保护利益相关者利益,国有股的控股股东性质存在正调节效应；寿险公司的合规性建设对利益相关者保护较好；保险公司各种治理机制对利益相关者保护的有效程度存在差异.研究建议我国保险公司治理应不断推进从强制合规到自发合规的转变,最终实现从合规到有效的转型.

| Abstract: | From the angle of protection of stakeholders represented by policyholders,using solvency of the basic indicator as evidence,by the effective sample survey data of corporate governance in 46 joint-stock insurance company,the paper examines China’s insurance corporate governance compliance,and the effectiveness of various governance mechanisms in practice by WLS.The results show that the insurance company governance compliance can effectively protect the interests of stakeholders;the nature of the controlling shareholder has positive regulatory effects.But the degree of insurance companies’ governance mechanisms is different in protecting stakeholders.With this conclusion,the study proposes China’s insurance governance to achieve change from compliance to voluntary compliance,and ultimately change from compliance to effective. |
