| 摘 要： | 商业秘密是不为公众所知悉、能为商业秘密拥有人(权利人)带来经济利益，具有实用性并经权利人采取保密措施的技术信息和经营信息；一项信息是否构成商业秘密，主要应从四个方面进行认定。《反不正当竞争法》是我国第一部比较系统地规定商业秘密保护问题的法律，但它本身不是一部独立的保护商业秘密的法律；其他法律中也有保护商业秘密的规定，但过于分散零乱。我国加入WTO以后，对商业秘密的保护要求将越来越高。因此，从完善法律体系的角度看，我国迫切需要制订一部独立的“商业秘密保护法”。

| Abstract: | Business secret is the information of technology and business which can bring the right owner economic interest, being practical, and being kept as secret by the right owner; whether an information constitutes business secret or not should be decided from four aspects. Anti-unfair Competition Law is the first one that systematically governs the protection of business secrets in our country, but it is not an independent one; there are some provisions protecting business secrets, but scattered and unsystematic. The requirement for protecting business secrets becomes stronger after our country's entry into WTO. Therefore, the enactment of an independent law on protecting business secrets is urgently needed. |
