| 摘 要： | 我国上市公司具有独特的股权结构，它决定了国内控制权市场有着与西方成熟市场不同的特征。本文通过分析在我国控制权市场上目标公司的股权结构和股权交易特征，对完善上市公司控制市场提出一些建议。

| Abstract: | The ownership structure of the listed companies in China is unique to other countries, which results in different characteristics in Chinese M&A market. This paper analyzes the characteristics of stock ownership and transaction of listed targets under the take-over bids, and makes some suggestions on the development of the M&A market based on the research. |
