| 摘 要： | 现代公司治理结构的一项重要内容，就是根据所有者和其他利害相关者的利益，制定出一套完善的激励约束机制。在我国，股票期权制度作为一种新形式的激励方式，与传统激励模式相结合．在建立与完善现代企业治理结构方面进行了大胆的实践。
