| 摘 要： | 公司治理是关于公司组织方式、控制机制、利益分配的制度性安排。其根本目的在于合理配置公司中的权力、责任和利益,矫正或弥补现代公司因两权分离而产生的代理人经营风险及公司规模的扩大对社会公正和秩序的威胁,使公司本身的自由与保障公司关系人的利益之间协调发展。公司治理是公司自治和法律规制的统一。

| Abstract: | Corporate governance is the institutional arrangement about organization mode,control mechanism,and interest distribution.Its basic purpose is to distribute the corporate power,obligation and interest reasonably in a corporation and to correct or remedy the agency operating risks for a corporation caused by the separation of ownership and managerial power and menace to the social fairness and social order owing to the extending scale of the corporate,in the way the liberty of corporation itself and the interest of stockholder can be developed coordinately.The corporate governance is the consolidation of autonomy and regulation. |
