| 摘 要： | 针对振兴东北老工业基地战略的有利形势下,黑龙江省企业跨国并购出现了有利于其发展的新环境,但同时也面临诸多风险的问题,从黑龙江省企业参与跨国并购的现状入手,分析了其所面临的5种风险,并提出化解和防范风险要正确发挥政府的作用、选择合适的融资和支付方式、充分了解并购双方的法律规定并发挥金融中介的作用。

| Abstract: | Under the advantageous situation of developing the old industrial base of northeast ,provinces the new mergers environment mergers is favorable for the development of the enterprises＂ cross-border M＆A in Heilongjiang province. At the same time ,these enterprises are also faced with risk. The paper starts firstly from enterprises which will participate in enterprises＂ cross-border M＆A in Heilongjiang Province, then analyzes the five risks that enterprises will face, and gives methods which remove and take precautions against the risks：the government＇s proper functioning;select proper ways of finance and payment, getting to know the law of the two parties and playing the role of financial media. |
