| 摘 要： | 债券的发行过程是一个市场行为发挥的过程，其发行价格具有市场性，本质上是市场价格，其折价或溢价的作用也是使发行行为回归市场状态、凸现其市场属性。债券发行的市场性质使债券发行的整个过程具体表现为买卖双方的独立意志的自由发挥，经互相认同融合，从而形成统一意志这一内涵的过程。

| Abstract: | The process of bond distribution is a process to bring market behavior into full play where the issued price is the market price essentially. The effect of reduced or premium price makes the distribution return to market state, and makes its attributes stand out more clearly. However, the market property of the entire distribution process makes it appear as the process of free trade in accordance of mutual benefit. |
