| 摘 要： | 由于成文法的局限性滞后性与欠缺一人公司实务经验,我国一人公司登记制度存在诸多缺失.该制度的创设是解决现实生活中大量存在的为规避法律而设立的实质意义一人公司,但<公司法>第60条登记制度并没有对此予以规制.应从公司设立登记中股权认定标准、强制一人有限责任公司变更登记、强化"一人有限责任公司"名称披露等方面予以完善.

| Abstract: | Because of the limitation and lagging of statue law,there’re lots of lacunae in the one-man company registration system.The existence of the system is to solve the issues about the one-man companies which were founded in fraud of law,yet section 60,the registration system,in Company Law,does not have this kind of regulation.Accordingly,the registration system should be perfected in the following aspects,the standards for determining equity,changes of registration and name disclosure. |
