摘 要: | 如何对跨国并购整合过程中的制度复杂性作出战略响应决定了并购战略意图能否实现。基于适应与创新视角,识别出了跨国企业在并购整合过程中针对制度复杂性的两种战略响应方式:制度适应和制度共创,实证检验了并购前的并购动机对并购后整合过程中战略响应方式选择的影响,以及并购经验和组织冗余对上述关系的调节效应。研究发现,利用性并购企业倾向于选择实施制度共创战略,探索性并购企业倾向于选择实施制度适应战略,同时并购经验和组织冗余正向调节探索性或利用性并购与相应战略响应方式之间的关系。

The effect of transnational M&A motive on strategic response of institutional complexity in M&A integration |

Abstract: | How to make a strategic response to the institutional complexity in transnational M&A integration process determines whether the strategic intention of transnational M&A can be achieved. Based on the perspective of adaptation and innovation, we identify two types of strategic responses to institutional complexity in the process of M&A integration: institutional adaptation and institutional co-creation, empirically test the impact of prior M&A motives on the selection of strategic response during the post-merger integration process, as well as the moderating effect of M&A experience and organizational slack on these relationships. The study finds that exploitative M&A firms tend to choose to implement institutional co-creation strategy, and the exploratory M&A firms tend to choose to implement institutional adaptation strategy, while the M&A experience and organizational slack positively adjust the above relationships. |
