| 摘 要： | 适用当事人自主选择的法律是国际技术转让合同使适用最密切联系地法的前提条件。在当事人没有明确选择法律时，则适用与合同有最密切联系的法律。在转让技术所有权的合同中，转让方的习惯居所地法或营业地法是与合同有最密切联系的法律。在转让技术使用权的许可合同中，原则上技术保护国法是与合同有最密切联系的法律。但在保护国有多个时，技术主要利用地为保护国；在技术被许可给一个受让方在几个国家利用且都得到充分的利用时，被许可国法律为合同最密切联系的法律；在许可方和被许可方有相同惯常居所、营业地、中心管理地或国籍时，其共同的法律为合同最密切联系的法律；在许可合同明显与许可国有更密切的联系时，许可国法律为合同最密切联系的法律。

| Abstract: | That the law chosen by the parties should first be applied is a premise of the application of law of the place of the most significant connection in the international contract of technology transfer, but in the absence of choice the applicable law of the contract is the law of proximate connection. With respect to the contract of the transfer of the ownership in technology, the law of the country where the licensor has its habitual residence place of business or central administration is most closely linked to it. As to the license contract the law of the protecting country is in principle the law of proximate connection, but where there are several countries, the place of technology utilization is considered to be the protecting country. When technology is licensed to be equally utilized in several countries, the law of the country of licensee is considered to be the law of proximate connection; where the licensor and licensee have the same habitual residence, place of business, central administration or nationality, their common law is; when the license contract is clearly linked to the country of licensor, the law of the country of licensor is. |
