| 摘 要： | 一人公司是对传统公司制度的一大革新,但由于一人公司本身所无法克服的弊端,各国早期公司立法对一人公司多采取抵制态度。随着经济的发展,世界范围内承认一人公司已成为各国立法的总趋势。我国为适应市场经济发展的需要,结合我国的国情,设立了一人公司制度。但《公司法》对一人股份公司等实际问题采取回避态度,这需要立法者采取措施使之日趋完善。

| Abstract: | A person of company is a big innovation of a traditional company system,however,this kind of company itself has the malpractice which is unable overcome,the various countries' early time company legislates to a person of company has the resisting manner.Along with the economical development,in the world scope acknowledged a person of company has become the various countries' legislation the general trend.For meeting the market economy,our country unifies the national condition and has set up a person of company system.New Company Law usually avoids to the actual problems of one person of company,which needs legislators take the further measure. |
