| 摘 要： | 从独立董事角度出发,研究了影响独立董事履行职责的因素与上市公司违规行为之间的内在关系。结果表明:独立董事之间专业的合理构成与上市公司违规呈显著负相关关系,独立董事合理的专业构成更能有效地防范上市公司的违规;对独立董事的津贴激励与上市公司违规行为发生呈显著正相关关系。
