| 摘 要： | 关联交易是现代市场经济的产物,一定程度上推动了我国市场经济的进一步的深化。在一系列经济动因的诱发下,会导致不公平关联交易的发生。不公平关联交易具有很大的经济危害性,危及证券市场的健康发展,侵害了国家、银行及中小股东的利益。通过借鉴境外证券监管部门的经验,提出若干建议,以合理规制关联交易,防止不公平关联交易的发生。

| Abstract: | The affiliated transactions is the product of modern market economy.In the certain degree it impelled the market economy further deepening.But under a series of economic agents inducing,unfair affiliated transactions occur frequently.The Unfair affiliated transactions has great economic harm?The unfair affiliated transactions endangered the stock market,violated the country,the bank and the minor shareholder's benefit.This article carries on the analysis from the law and economics,in order to regulate the unfair affiliated transactions reasonably. |
