| 摘 要： | 证券虚假陈述案件对我国证券市场以及社会主义市场经济秩序具有严重的破坏作用,探讨虚假陈述民事赔偿的相关法律适用对于解决这类纠纷具有深刻的现实意义。在证券虚假陈述案件中,囿于我国立法技术不足,相关理论和实务欠缺,导致在具体的虚假陈述民事侵权赔偿过程中的法律适用困难,在证券虚假陈述的制度构建中,应结合证券虚假陈述的特殊性,进行合理的证券民事侵权法律制度设计和民事法律适用。特别是对于揭露主体、揭露日等需要高度证券知识做支撑的法律概念界定上,必须要考虑现实情况,借鉴发达资本市场的相关规则进行相关考虑。

| Abstract: | Cases of false statement of securities has serious damage to China＇s securitiesmarket and the order of the socialist market economy,the applicable laws onfalse statement civil compensation has profound practical significance for solving this kind of dispute. In the case of false statement in securities,constrained by the lack of legislation in China,the lack of relevant theory and practice,lead to the application of the law of the false statement civil tort compensation process,in the construction of the false statement of securities system,should be combined with the particularity of Securities Misrepresentation,reasonablesecurities tort law system design and the application of civil law. Especially for thedisclosure,disclosure date,subject to securities law knowledge do support the concept limits,must consider the realistic situation,with reference to related rulesdeveloped capital market is considered. |
