| 摘 要： | 预约合同的产生是商品经济日益发达的产物,随着市场经济的不断发展,现实生活中预约纠纷层出不穷,但由于对该问题我国法律还没有作出专门的规定,以致许多纠纷都不能得到及时有效地解决。理论上,对预约问题也关注不够,少有的研究也是诸多争议,尤其是预约效力问题。因而,对当前预约效力的两种主要观点——"必须磋商说"和"必须缔约说"进行分析实为必要,并在此基础上阐明"必须缔约说"的合理性,提出当事人的具体义务及义务违反后的法律责任,以期对现实纠纷的解决有所裨益。

| Abstract: | The pruduction of precontract is the result of the commodity economy which is developing day by day.With the unceasing development of the market economy,disputes because of precontract emerge one after another incessantly in the real life.However,because there is no special stipulation to this question in our native law,many dispute cannot be solved promptly and effecitively.Theoretically,there is no enough attention paid to this question and the few research is insufficient besides lots of disputes.Thus,it is necessary to introduce Theory of Dutiful Consultation and Theory of Dutiful Concluding a Treaty which are important theory about the validity of precontract.Under the premise of the introduction,the writer discusses the rationatily of Theory of Dutiful Concluding a Treaty,then proposes the concrete duties of the litigant.By doing this,the writer hopes that the theory on precontract can be combed and then a valuable reference can be provided for the real dispute. |
