摘    要:人力资本产权理论和资产专用性理论揭示出人力资本具有绝对私有性、专用性和异质性等特征,这些特征决定了以人力资本为主的企业应具有与传统企业不同的制度安排:确定人力资本产权、构建强化人力资本作用的治理结构、实行以股票期权制和有限合伙制为主的激励机制。作为企业理论基础的企业制度变化又决定了企业理论的发展趋势。

Abstract:It is the theory of human capital's property right and the specialization of assets that delineates the features of human capital absolute private possession, specialization and differentia. It just is these features to determine that the enterprise gives first place to human capital should have different system arrangement from traditional enterprise determine human capital's property right, establish the administrative struure that can strengthen human capital, build the encouragement system on the basis of stock option system and limited cooperative system,It is the change of enterprise systems the foundation of enterprise theory that decides the developmental tendency of enterprise theory.
