| 摘 要： | 中外合资经营企业法有不完善之处，如对外国合营主体资格的审查问题、外商投资比例上限问题、中外合资经营企业设立行为的法律责任问题、场地使用权作为出资问题及授权资本制度下权利限制的有关问题等。这里结合工作实践就以上问题做些相关讨论。

| Abstract: | In the process of utilizing the foreign capital exist some problems that need further discussion concerning the business law of joint ventures, such as, the examination of the qualifications of the subject, the maximum percentage of foreign investment, the legal responsibility in the establishment of the joint venture, the use of land as a form of investment as well as the limit of right concerning this problem. |
