| 摘 要： | 近年来，伴随跨国交易的兴盛，跨国证券交易已成为世界金融领域备受关注的问题，研究证券交易的冲突规则亦显得异常重要。作为有价证券的典型代表，股票历来备受国际社会关注。涉外股票转让问题更是国际投资者关注的重中之重。《中华人民共和国涉外民事法律关系适用法》的出台对于弥补国内尚无有价证券法律适用问题统一立法的缺陷起到了一定作用，但依然无法切实解决涉外股份转让问题。因此，本文以《中华人民共和国涉外民事法律关系适用法》与国外立法的相关规定为依据，试分析涉外股份转让法律适用这一问题。

| Abstract: | With the rise of cross-border transactions,cross-border securities transactions has become the major concern of the area of the world’s financial in recent years.Research on conflict rules of securities transactions seems equal important.As the topical representative of se-curities,the stock has always been much international attenion.Foreign stock transfer is the most important concern of the international inves-tors.The introduction of Law of Law Application of Foreign Civil Relations of Republic of China has played a certain role to compensate for de-facts of missing domestic securities law.But it still can not solve the problem of foreign stock transfer.This article tries to anlyse the problem of foreign stock transfer on the base of relevant provisions of Law of Law Application of Foreign Civil Relations of Republic of China and foreign legislations. |
