| 摘 要： | 最高转售价格维持在我国的市场交易中是一种较为普遍的现象。但我国《反垄断法》第14、15条及《反价格垄断规定》第8、10条规定过于简单,缺乏可操作性,无法应对现实情况。经济理论表明,最高转售价格维持通常具有正面的福利效果。美国、欧盟均基于自身情况发展出了行之有效的最高转售价格维持反垄断法规制模式。我国应借鉴它们的成熟经验,结合本国国情,制定出完善的最高转售价格维持反垄断法律规范,即仿效欧盟做法,确立最高转售价格维持的"安全港"制度,继而借鉴美国经验,建立最高转售价格维持的反垄断分析框架。

| Abstract: | Maximum resale price maintenance is a common phenomenon in our market trading. But the article 14, 15 of Antitrust Law and the article 8, 10 of Anti-price Monopoly Regulations in our country are stipulated too simple and lack of maneuverability to cope with the reality. The economic theory suggests that the maximum resale price maintenance usually has a positive welfare effect. The United States and the European Union have both developed their effective anti-monopoly regulation of the maximum resale price maintenance based on their own circumstances. China should learn from their mature experience and make a perfect antitrust laws and regulations of maximum resale price maintenance combining with our national conditions. |
