| 摘 要： | 新《公司法》关于一人公司制度的设立，给社会经济生活注入了新的活力，使投资者有了更多的选择。由于一人公司股东单一性的特征，我国《公司法》对一人公司的立法规制过严，不利于一人公司的发展。应从一人公司的信用制度、人格否认制度、信息披露制度、监事制度及担保制度等方面入手，进一步完善相应法律规制。
