| 摘 要： | 新公司法对股份公司中发起人的地位子以了进一步的明确，所规定的公司设立的一系列复杂程序中渗透了发起人的职责和义务。尤其是随着建立适应市场经济需要的现代企业制度步伐加快，我国吸取英关等发达国家的有益经验，对发起人的信义义务更为重视。文章采用比较学的方法，从发起人的地位、责任入手，对其信义义务在新法框架下的规定进行了系统的理论分析和研究，并就我国现行制度基础上如何实现发起人信义义务的承担、促使合理解决相关纠纷提出建议。

| Abstract: | The newly issued company law further ascertained the position of the sponsor in the limited company. The obligation and hability of the sponsor involved the complex process of the establishment of the company fully. It aroused us extensive attention on the faith obligation of the sponsor for absorbing the experience of advanced countries under the condition of the quick establishment of modernized enterprises. The article researched the faith obligation in the new law system from analyzing the position and liability of it and proposed several suggestions on how to realize the bearing of the faith obligation and settle relating disputes reasonably. |
