| 摘 要： | 公司注册资本是公司在登记设立时在登记管理机构登记的资本总额，注册资本是公司进行生产、经营的本钱或物质基础，也是公司成立的法定条件之一和对债权人承担的基本保障。我国公司法规定公司注册资本额过高，背离的功能太多，登记审查不严，实际中虚假出资，抽逃出资严重。我国公司法应采取折衷授权资本制，降低投资门槛，规范管理制度。

| Abstract: | The registered capital of company is the total capital registered in registry office when the company setting up. Registered capital is the capital or material basis of production and operating the company. It's also the requirement of setting up a company and it can guarantee the creditor. Something for company registered capital stipulated in the Company Law of the People's Republic of China has so many problems. That is the lowest norm of registered capital is too high, the function disturbance, examination of the registration is instruct, the fictitious investment, and the investment escape is serious. In this issue eclectic accredited capital system is needed. |
