| 摘 要： | 保护中小股东利益是公司长期稳健运作的保证，是社会公平的一种价值追求。中小股东在公司的出资中占有一定的比例。但在公司的管理决策方面上往往受到控股股东的限制，损害了中小股东的股权利益。为了提高中小股东的投资积极性，促进我国经济发展，保护中小股东利益显得尤为重要。

| Abstract: | The protection of medium and small shareholders＇ interest maintains a stable development, whieh is a pursue value of social justice. The medium and smaii shareholders take a certain proportion of company capital, but they are always restricted by controlling shareholders in terms of making decision, which harms the interest of medium and small shareholders. Thus, in order to enhance the medium and small shareholders＇ motivation to invest, promote the development of our country, it is important to protect the interest of medium and small shareholders. |
