摘    要:作为一种重要的知识产权,商业秘密在现代企业中日益成为重要的无形财产。在司法实践中,为了能更好地处理好劳动者与企业之间因商业秘密保护而产生的纠纷,应贯彻利益衡量的原则,对商业秘密权人与劳动者之间的利益进行衡量,使商业秘密保护与劳动者就业权达到利益平衡。从保密协议、竞业禁止合同、不可避免揭露原则三方面对如何实现劳动者与单位之间的利益平衡问题展开了分析,并在此基础上提出了具体的立法建议和司法措施。

Abstract:As an important intellectual property, trade secret in modem enterprises is increasingly becoming an important intangible property . In the judicial practice , in order to be better able to deal with issues resulting from trade secret protection between laborer and enterprises , we should carry out the interest measurement prin- ciple, to balance the interest between trade secret protection and laborer employment right. Author analysed the confidentiality agreements, non- compete contracts, inevitable disclosure doctrine, and came up with some legislation suggestions and suitable judicial measures.
