摘    要:国有控股公司内部人控制问题由来已久,原因之一在于转轨过程由于产权安排不合理而导致的“资本雇佣劳动”。为此,处于节约社会变革成本的考虑,提出一种来源于知识管理思想启发的“知识型治理”模式,从而为公司治理制度由“资本雇佣劳动”单边模式向“公司共同治理”的多边模式变革实施软着落。

Abstract:The insiders controlling in state-owned companies has been existing for a long time, and one of the reasons is 'capital hires labours' which resultes from unreasonable property right determination during transition times. As a result, according to the consideration for lowering the cost of social reformation, the authors want to suggest a kind of 'knowledge governance pattern' based on the thought of knowledge management so as to change single capital governance pattern into a multilateral shared governance pattern in a soft landing way.
