| 摘 要： | 公司法人格否认制度起源于19世纪末的美国,现已被英国、德国、日本等国接受。在我国,公司法人格否认制度还没有为法律所确认,但在现实经济生活中存在大量滥用公司法人格的行为,立法滞后性十分突出,确立该制度已是紧迫之事。

| Abstract: | The system of disregarding the corporate personality dates back to the 19th century in America.It has been accepted by England、German and Japan now.In our country,the concept of disregarding the corporate personality has not found recognition in law yet.In the realities of economic life,conduct that abuse the corporate personality abound.The legislation still lags far behind,it is urgent for us to establish the system. |
