| 摘 要： | 新《公司法》于2006年1月1日已经开始实施，此次修改允许设立一人公司，并对一人公司规定在注册资本、股东身份、设立登记记载事项等方面有严格的规定。这些规定是否可以实施，一人公司是否可以解决实质性一人公司带来的诸多问题等，笔者将从一人公司的规定入手，浅谈对一人公司的认识。

| Abstract: | New “Law of corporation” already started in January 1, 2006 to implement, this revision permission sets up a person of company, and to a person of company stipulated that in the registered capital, the shareholder status, sets up aspects and so on registration record item to have the strict stipulation. These stipulated whether can implement, whether a person of compa- ny can solve many problems which the substantive person of company brings and so on, the author will obtain from a person of company＇s stipulation, discusses shallowly to a person of company＇s understanding. |
