| 摘 要： | 独立董事"不独立"已成为目前推行独立董事制度、完善我国资本市场的最大危机。因此如何通过建立包括完善独立董事选拔机制以及合理的薪酬制度等措施来提高我国上市公司独立董事的独立性,完善上市公司的法人治理结构,促进上市公司规范运作,维护公司整体利益,保护中小股东的合法权益不受损害就成了很重要的问题。

| Abstract: | It is the biggest crisis for carrying the independent director system and improving the capital market of our country that the independent director cannot hold their independence.So how to raise the independence of the independent director,consummate the corporate governance,promote the normative operation,vindicate the company’s general interest and protect the legal equity of the small and medium-sized shareholders through building the perfect selecting system and reasonable remuneration system of the independent director is becoming more and more important. |
